By accessing or using our services (the “Services”) through our website (the “Site”), you agree to be bound by these Terms and Conditions (“Terms”). Please read them carefully before using our Services.

1. Introduction

These Terms govern your use of The Education Marketplace, including all content, features, and services made available through the Site. By accessing or using the Site, you agree to comply with these Terms and our Privacy Policy.

2. Definitions

Educator: Any individual or organisation operating within the education sector using the Site to discover products or services.

Supplier: Any individual or organisation listing or marketing products or services through the Site.

User: Any person who accesses or interacts with the Site, including Educators and Suppliers.

Introduction: A request by an Educator for more information about a Supplier’s product or service, where The Education Marketplace Limited notifies the Supplier of such request.

3. Account Registration

3.1 To use certain features, you may need to register for an account. You agree to:

  • Provide accurate, current, and complete information;
  • Keep your login credentials secure;
  • Notify us promptly of any unauthorised use of your account.

3.2 You are responsible for all activities that occur under your account.

4. Use of the Platform

4.1 You agree to use the Site only for lawful purposes and in accordance with these Terms.

4.2 You must not:

  • Use the Site in a way that could damage, disable, or impair our Services;
  • Attempt to gain unauthorised access to other accounts, systems, or data;
  • Use the Site to transmit spam, malware, or other harmful material.

4.3 We reserve the right to suspend or terminate access to any User who breaches these Terms.

5. Interactions Between Schools and Suppliers

5.1 Independent Dealings: The Education Marketplace Limited facilitates discovery and connection only. We do not act as an agent, representative, or intermediary in any transaction between Educators and Suppliers.

5.2 No Liability for Third-Party Dealings: We shall not be liable for any interactions, disputes, or transactions between Educators and Suppliers. We do not guarantee the performance, accuracy, or reliability of any listed Supplier, product, or service.

5.3 Dispute Resolution: We are under no obligation to become involved in disputes between Users. You agree not to hold The Education Marketplace Limited or its affiliates liable for any claims, losses, or damages arising from such disputes.

5.4 Permission to Share Contract Information: By using the Services, you grant The Education Marketplace Limited permission to securely share relevant contract details (excluding personal data) with prospective Suppliers when a contract is nearing its end date. This enables Suppliers to provide timely quotes and supports a competitive procurement process.

Contract data will only be processed in accordance with our Privacy Policy and UK GDPR.

Schools may opt out of contract sharing by notifying us at hello@marketplace.education

6. Product Listings by Suppliers

6.1 Submissions: Suppliers may submit product listings. We reserve the right to approve, edit, reject, or remove any listing at our sole discretion.

6.2 Content Accuracy: Suppliers are responsible for the accuracy and legality of all content, images, and claims made in their listings. By submitting a listing, you confirm that:

  • All submitted information is true, accurate, and not misleading;
  • You hold the rights or necessary permissions to use the content;
  • You grant us a non-exclusive licence to use, display, and distribute the content on our platform.

6.3 Listing Integrity: Suppliers must not:

  • Include links in fields not explicitly designated for them;
  • Manipulate listings to gain unfair visibility or advantage. Misuse may result in suspension or removal of listings.

6.4 Availability and Deletion: Listings remain active even if a Supplier deletes their account, to ensure continuity of user reviews and historical accuracy. Listings are removed only if the business has ceased trading. Reviews remain unless they breach community rules.

6.5 Platform Limitations: We may assist Suppliers with listing content if requested, but we do not guarantee increased traffic, visibility, or sales; nor accuracy or reliability of Supplier-provided content. Educators are responsible for conducting their own due diligence.

7. Reviews

7.1 Reviews are the opinions of individual Users and not those of The Education Marketplace Limited.

7.2 We do not verify reviews for accuracy. Educators should exercise their own judgment when relying on reviews.

7.3 We reserve the right to remove reviews that breach our community rules, are defamatory, abusive, or unlawful. Otherwise, reviews remain visible.

8. Account Deletion

8.1 You may request deletion of your account by contacting us at hello@marketplace.education

8.2 Deleting your account:

  • Removes your ability to manage your profile or interact with other Users;
  • Does not remove product listings or reviews associated with your products, unless your company has ceased trading.

9. Lead Costs and Revenue Share

9.1 Lead Cost Model

Lead costs are determined by the Supplier’s account type at the time the lead is accepted:

  • Free Account: £100 per lead (no free leads).
  • Basic Account (Monthly Subscription): 1 free lead per month, then £50 per lead thereafter.
  • Basic Account (Annual Subscription): 12 free leads per year, then £50 per lead thereafter.
  • Premium Account (Monthly Subscription): 3 free leads per month, then £50 per lead thereafter.
  • Premium Account (Annual Subscription): 36 free leads per year, then £50 per lead thereafter.

9.2 Lead Disclaimer & No-Refund Policy

The Education Marketplace Limited does not guarantee a specific number of leads per month or per year. All leads are payable regardless of whether the Supplier is already in contact with the Educator. No refunds or credits will be provided if the Supplier receives fewer leads than the monthly or annual subscription entitles them to.

9.3 Payment Trigger

Lead costs become payable by the Supplier upon accepting the lead contact.

9.4 Expiry of Free Lead Credits

For monthly subscriptions, unused free lead credits expire at the end of each month. For annual subscriptions, unused free lead credits expire at the end of the subscription year.

9.5 Revenue Share Model

Where an Educator purchases a product or service from a Supplier following an Introduction via the Site, a revenue share becomes payable by the Supplier to The Education Marketplace Limited.

9.6 Applicable Rates by Account Type

  • Free Account: 15% of invoiced revenue.
  • Basic Account: 10% of invoiced revenue.
  • Premium Account: 5% of invoiced revenue.

9.7 Payment Terms

Revenue share is payable immediately upon the Supplier invoicing the Educator. Payment must be made within 30 days of the invoice date.

9.8 Supplier Reporting Obligation

Suppliers must notify The Education Marketplace Limited of any Educator purchase resulting from an Introduction within 30 days of invoicing. Failure to notify will result in liability for the applicable revenue share plus an additional £500 administrative fee.

9.9 Audit Rights

The Education Marketplace Limited reserves the right to request reasonable evidence of transactions arising from Introductions for verification purposes.

9.10 Late Payment Applicability

Late payment terms apply to both lead cost invoices and revenue share invoices.

9.11 Interest and Recovery Costs

Any payment not received by the due date will accrue interest at 8% per annum above the Bank of England base rate, calculated daily. The Supplier will also be liable for recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998.

10. Intellectual Property

All content on the Site, including text, graphics, logos, and software, is the property of The Education Marketplace Limited or its licensors. You may not copy, distribute, or otherwise use any content without prior written consent.

11. Limitation of Liability

11.1 To the fullest extent permitted by law, The Education Marketplace Limited disclaims all warranties, representations, and liabilities relating to:

  • Accuracy of content;
  • Conduct of Educators or Suppliers;
  • Any indirect, incidental, or consequential damages arising from your use of the Site.

11.2 Our total liability to any User, whether in contract, tort, or otherwise, shall not exceed £100.

12. Indemnity

You agree to indemnify and hold harmless The Education Marketplace Limited, its directors, employees, and affiliates from any claims, losses, or damages resulting from:

  • Your use of the Site;
  • Any violation of these Terms;
  • Any third-party claims relating to content you provide (including infringement of intellectual property rights or misrepresentation).

13. Changes to the Terms

We may update these Terms from time to time. If changes are material, we will provide at least 14 days’ notice via the Site or by email before they take effect. Your continued use of the Site after changes become effective constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.

15. Supplier Account Cancellation

15.1 Monthly-Paid Accounts: Suppliers with monthly subscriptions may cancel anytime; cancellation takes effect at the next billing date.

15.2 Annual-Paid Accounts: Suppliers with annual subscriptions must give at least 30 days’ notice prior to renewal, otherwise a further year will be billed.

15.3 Obligations During Notice Period: During the notice period, Suppliers remain liable for subscription fees and revenue share obligations.

15.4 Effect of Cancellation: After cancellation, the Supplier’s account reverts to a Free Account. Any outstanding payments remain due.
